THIS IS A DOCUMENT CONTAINING SEVERAL IMPORTANT CLAUSES THAT RELATE TO YOUR RIGHTS AND OBLIGATIONS. BY USING THE WEBSITE ACCESSIBLE AT THE ADDRESSES WWW.CUISINEBLUE.COM AND *.CUISINEBLUE.*, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
1. Binding power of this document
Cuisineblue is a Limited Liability Company under English law with a share capital of 5.000,00 euros and a registered office located at 10 High Street, Llandrillo, Corwen, Denbighshire, LL21 OTL, United Kingdom listed under the number 10988641 in the register of Companies of the Ministry of Commerceof the United Kingdom (hereinafter referred to as “CB”, “we”, or “us”).
We have created and operate the website that is accessible at the addresses www.cusineblue.com and *.cuisineblue.*, the purpose of which is to be a platform for the listing and exchange of information, enabling people to become acquainted over a food experience, possibly accompanied by cooking classes, wine tasting, tours, or other travel related activities.
By using the Cuisineblue Website, you agree to be bound by these terms and conditions which constitute a contract between yourself and CB. In this context you are referred to as the “User” or “Guest”.
2. What we offer to you as a Guest
If you love meeting new people and enjoy authentic experiences in the places you visit, you can use the CB Website for your ideal CB invitation, as we have set up the CB website to facilitate your meeting with local people to share a dining experience and more (hereinafter referred to as the “CB Invitation” or “Event” or “Dinner”).
3. Our role on the Cuisineblue Website
Our role is to put Guests in contact with local Hosts who list their dining experience proposals on the CB Website (hereinafter referred to as the “Contact Service”).
Thus the CB Website serves as a platform for listings and exchange of information. It allows the listing of CB Invitations by Hosts which conform to a certain number of objective criteria, and include key information about the Invitations.
Our Contact Service is aimed exclusively at persons over 18 years of age and/or having the legal capacity to enter into a contract, or at minors accompanied by such persons.
In the event that a guest should accept a Host’s CB Invitation, a contract shall be made between them, to the exclusion of CB. Thus, in the event of a dispute between the Guest and the Host in relation to a failure by one of these parties to honor their contractual obligations, CB shall under no circumstances be held responsible.
4. Your publications on the CB Website
If you are a Guest, we also offer you the option to give feedback by posting content on the CB Website itself and, in particular, on the pages published by the Hosts relating to a CB Invitation in which you have participated (hereinafter referred to as the “Guest Content”).
More generally, you can post content on the Website as a simple User (this content, the Guest Content and the Host Content shall hereinafter be referred to together as “User Content”).
User Content that you post on CB is your property and you are solely responsible for this content.
By posting User Content on the CB Website:
– You expressly agree that it will be made public.
– You allow everyone, including persons who do not use the CB Website, to access this User Content and to use it, and also to associate it with you.
– You acknowledge that this User Content does not confer any rights upon you, of any nature whatsoever and no property rights, including intellectual property rights, on the CB Website and/or its content (other than User Content alone).
– You grant us a worldwide, non-exclusive, transferable, sub-licensable, royalty-free license to use the content of intellectual property that you publish on the CB Website or in relation to the CB Website.
This license allows us in particular, without this list being exhaustive, to edit your User Content on the Website, to reproduce it, in whole or in part, to represent it, to translate it, to group it with other User Content or elements of the CB Website, to remove certain words in order to use them in search tools, to use it for promotional or commercial purposes.
This license ends when you delete your intellectual property content, either via your account, or by expressly requesting its removal by sending a recorded delivery letter with signed proof of receipt. You must include your identity, your contact details, and enough information in your request to allow us to find the User Content concerned in order to delete it and must allow sufficient time for us to deal with your request.
However, we would like to draw your attention to:
(i) The fact that User Content may be edited or moderated by CB for clarity.
(ii) The fact that deleted User Content may still be visible in back-up copies for a certain time, including on search engines operated by third parties.
(iii) The fact that deleted User Content may be copied and kept by CB for archival purposes and, in particular, to allow it to defend its rights if necessary, and you irrevocably and expressly acknowledge and authorize it to do so.
(iv) The recommendation tools (the functioning of which is carried out by automatic handling of non-personal data and not by human intervention of CB) are able to anonymously and irrevocably register your opinion, to which you agree. You also agree that your opinion may be stored anonymously for statistical purposes.
CB reserves the right to market the results of this automatic data handling.
– You authorize us to use User Content without any compensation, and particularly to exploit User Content both for purposes of external and internal communication, and for institutional, events, promotional or advertising purposes.
– You acknowledge that we are under no obligation to store your User Content and/or to publish your User Content and that we can, at any time and without prior notice, delete your User Content from the CB Website.
5. Financial conditions
A payment to cover costs is requested from Guests for each CB Invitation in the form of a fixed total amount per person (“Total Amount”) payable in full before the CB experience takes place. This Total Amount includes all costs and all taxes (where applicable) and is the final price that the Guest will have to pay for each CB Invitation.
CB receives remuneration in the form of a commission in exchange for its Contact Service (“Service Charges”).
CB will charge the Guest the Total Amount, which includes the price charged by the Host (the “Hospitality Expenses”) and the Service Charges corresponding to a certain percentage of Hospitality Expenses. CB will keep the amount corresponding to the Service Charges and will transfer the amount corresponding to the Hospitality Expenses to the Host on agreed time intervals.
6. Terms and methods of payment
Payment of the Total Amount per person for a CB Invitation should be made in full by the Guest before the date set for the CB Invitation concerned, in e-money via the secure payment module of Braintree incorporated in our platform. No other payment method is provided or will be accepted.
In the unlikely event of an Invitation cancellation by a Host, CB will promptly refund the full amount paid by the Guest through the same channel that the original payment was made.
In case a Guest cancels his participation at least 7 days prior to the scheduled date of the event, a full refund is granted through the same channel that the original payment was made. No refunds are given for cancellations less than 7 days prior to the event date.
7. Obligations of Hosts
The Host agrees to provide all details required by CB forms on the website to allow Guests to be fully informed on Dinner’s details before booking. The Host undertakes to organize and present the Dinner in accordance with the information published on the website.
The Host is solely responsible, at his own expense, for the purchase of food, condiments and beverages served during Dinner, as well as all other items used for the Dinner such as decorative items, tableware, kitchen utensils, etc. All items must be in excellent condition.
The host is free to set the price of the Dinner per person, as described in article 5 above.
The Host is not an employee of CB. There is no Hierarchical relationship between CB and the Host who acts as an individual and not as a professional.
During the Invitation event, the Host shall not make any proposition contrary to law or morality, or request additional payment or provide any product or service other than that in connection to the Invitation or make a direct or indirect commercial or promotional use of the Invitation, or promote any product or service rendered by him or by a third party.
CB reserves the right to terminate publishing Invitations from a Host that does not comply with all of the above obligations.
8. Obligations of Guests
Guests agree to attend the Event and be punctual at the Host’s place. IA Guest that is late must inform the Host without delay, indicating the estimated time of arrival. The Host has no obligation to accept a Guest that arrives more than one hour after the time scheduled and posted in the Invitation on the website.
The Guest may, if he so wishes, bring a gift to the Host, such as flowers, a bottle of wine, a box of chocolates, etc. During the course of the Event, the Guest should behave well and adopt a warm, friendly and respectful attitude towards the Host and any other Guests also attending.
The Guest shall not harm the Host’s or other Guests’ integrity or cause any damages at the Host’s residence. In case of such damages or personal injury suffered by the Host, the Guest must compensate for the damages. Since CB is not organizing the Event, it cannot be held responsible for any such damage or injury.
Guests can make a written review of the Event within two days after the Event date, in accordance with article 4 above.
9. Applicable regulations
We advise you to familiarize with the regulations, whether fiscal, administrative, or of any other nature, that may apply to you as a Guest or to your Host.
You agree not to offer, give, serve or be served alcoholic drinks during a CB Invitation except in accordance with the applicable regulations as alcohol abuse is damaging to your health. Licensed premises are subject to specific regulations, the contravention of which is liable to criminal sanctions.
You agree to respect any regulations governing the premises where a CB Invitation takes place.
10. Modification of this Agreement - Eligibility
This Agreement can only be modified by and at the sole discretion of CB. CB reserves the right to modify this Agreement at any time. Any modification of this agreement will come into effect when it is published on the CB Website. By continuing to use the CB Website, you agree to be bound by the modified Agreement. If you do not accept the modifications that have been made, you may no longer use the CB Website and must leave it.
To ensure that you are fully informed, the date of implementation of each modified Agreement is shown in the heading of the document.
Use of the CB Website is considered to be null and void if it is done in violation of this agreement.
By using our website, you declare and guarantee to us that your use of the CB website does not infringe any current law or regulation.
11. Personal Information
Before becoming a Guest, you must submit, as a minimum, the following obligatory information:
n Your title
n Your family name.
n Your first name.
n Your email address.
n Your country
In the event that you decide to upload a profile photograph, you are committed to providing a photograph that represents you to the exclusion of any other person. By uploading such a photograph, you guarantee to CB that this does not infringe any intellectual property rights belonging to a third party and that you expressly authorize CB to use your image, and that you grant it a license for use under the conditions set out in article 4 above.
You are committed to provide full, exact and honest information. You will be identified on the CB Website, in your dealings with other Guests and with your Hosts, by your first name and your country.
Your expressly declare and guarantee to us that you are a person aged over 18 years and/or with the capacity to enter into a contract. Your email address will be confirmed by our automatic verification process before you can book a CB Invitation. Minors must be accompanied by at least one person of above required age and contractual capacity.
12. Exclusions and limitations to CB’s responsibility
CB cannot be held responsible for the User content that it stores at a User’s request unless, having been made aware of the illicit nature of any User content under the form and conditions of British Law CB should not have promptly removed said User content or rendered it inaccessible.
CB shall under no circumstances be held responsible for any error, omission, interruption, deletion, neither for any fault, delay in operation or in transmission, nor for any alteration to communication due to technical reasons beyond its control with any User.
CB reserves the right to temporarily suspend access to its services for technical reasons or for maintenance without these operations giving any rights to any kind of compensation whatsoever.
CB’s responsibility toward the Host or toward the Guest, under the contact service that it offers, is limited to the amount of commission received from the parties for the contact service in question.
CB shall under no circumstance be held responsible toward the Host or toward the guest for the smooth running and/or the satisfactory outcome of CB invitations. Thus, in the event that you might suffer damage, of whatever nature, due to a fault committed by CB in the context of the execution of the contact service, the compensation that you would receive from CB would be limited to the amount of commission that you paid to it for the contact service in question.
The CB website is likely to contain hypertext links to other websites owned and/or operated by other people than CB (hereinafter referred to as “third party websites”).
CB shall under no circumstance be held responsible for the products and/or content of these third party websites. In particular, without this list being exhaustive, CB cannot be held responsible for the accuracy, relevance, or comprehensiveness of the content of these third party websites neither shall it be held responsible for all or part of them.
CB shall under no circumstance be held responsible for any failure in the payment service provided by its partner.
CB shall under no circumstance be held responsible in the event of contravention by a Guest or Host of any applicable regulation regarding taxation, administrative, civil regulations, without this list being exhaustive.
Neither CB nor its directors, employees, or its agents shall under any circumstance be held responsible for any damage, either direct or indirect, resulting from use of the CB website or of the services provided there, of any content on the CB website or other elements, accessible or downloaded from the website, even if CB has knowledge or has been informed of the likelihood of the occurrence of such damage.
13. CB’s ownership of the content on the CB Website
The elements that make up the CB Website and particularly its editorial content, graphics, applications, software, and its features, with the exception of User Content, (hereinafter referred to collectively as the “Website Content”), are the exclusive property of CB and its rightful owners. Any reproduction, imitation, or insertion, either in whole or in part, of any of the elements of the Website Content belonging to CB is strictly forbidden without the prior written agreement of CB.
The Website Content cannot be modified, copied, distributed, boxed, reproduced, downloaded, displayed, published, transmitted, or sold in any form whatsoever or by any means whatsoever, either in whole or in part, without the prior written agreement of CB.
You are authorized to use the CB Website only under the conditions set out in this agreement, other use being strictly prohibited.
14. Exclusion – Withdrawal of access to the CB Website
CB reserves the right to withdraw your access to the CB Website, unilaterally and without prior notice if you are guilty of infringement of intellectual property rights or if you have published Illicit Content on the CB Website, and to make a claim against you and/or to demand compensation for damages,
15. Cookies and personal information
CB can store personal and other information about you on your computer in the form of “cookies”. The use of these cookies solely concerns the functioning of the CB Website. You acknowledge and agree that if you do not allow or limit the placing of cookies on your computer, this ban or restriction may have an unfavorable effect on your use of the CB Website.

CB possesses all ownership rights over the CB Website as well as over the Website Content.

17. Governing law - Jurisdiction
This agreement, the contact service offered by CB on the CB website, and the use of the CB website are subject to British law. Any dispute between a Guest and CB in relation to this Agreement, or the Contact Service offered by CB on the CB website, or use of the CB website will be subject to the jurisdiction of competent courts in the United Kingdom.
Before undertaking legal action in the event of such a dispute, we encourage you (although this is not compulsory) to contact CB in order to try to resolve the dispute amicably.
